Terms and Conditions for Use of Platforms

These terms and conditions (“Terms”) of DCB Bank Limited, a scheduled commercial bank established under the Banking Regulation Act, 1949 and incorporated in India under the provisions of the Companies Act, 1956, and continuing under the provisions of Companies Act 2013, bearing company identification number L99999MH1995PLC089008 and having its registered office at 601 & 602, Peninsula Business Park, 6th floor, Tower A, Senapati Bapat Marg, Lower Parel, Mumbai, Maharashtra, India, 400013 (“DCB Bank”, “we”, “us” or “our”), govern access or use by you (“User”, “you”, “your”) of the websites and mobile applications (“Platform”) offered by us to provide Services (defined below). 

These Terms shall constitute a binding contract between DCB Bank and the User when a User visits the Platform. Accessing or using the Platform shall be deemed to constitute sufficient proof that you have read, understood and accepted these Terms. These Terms are to be read in conjunction with DCB Bank’s Privacy Policy available at https://www.dcb.bank.in/privacy-policy (“Privacy Policy”) and Disclaimers available at https://www.dcb.bank.in/disclaimer (“Disclaimers”) and such other terms which govern the Services. 

This document is an electronic record in terms of the Information Technology Act, 2000, (“IT Act”) and the rules thereunder as applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the IT Act. This electronic record is generated by a computer system and does not require any physical or digital signatures.

You acknowledge that by accessing the Platform or availing the Services, you expressly consent and confirm to be bound by these Terms. 

• By accepting these Terms, you represent and warrant that (a) you have full legal capacity, right and authority to agree to and be bound by these Terms; (b) you are at least 18 (Eighteen) years of age or older; (c) you have not been previously suspended or removed by DCB Bank or any of its affiliates from availing the Services or have been disqualified from availing any Services; (d) you are not barred or otherwise legally prohibited from accessing or using the Services; and (e) you are not and will not impersonate any person, entity or falsely state or otherwise misrepresent such person’s or entity’s identity. A minor may not access this Platform and use the Services without the consent of his or her parent or guardian. The parent or guardian is presumed to have read these Terms to give consent on behalf of a minor and shall be bound by these Terms. If at any time, DCB Bank is of the opinion that you do not satisfy the eligibility criteria, including but not limited to any misrepresentation, misuse of any Service or offers, fraudulent or suspicious activities or transactions, DCB Bank retains all rights to disable your access to the Platform and/or suspend your use of the Services with immediate effect. 
   
• If you represent an entity, organisation, or any other legal person, not being a natural person, you confirm and represent that you are duly authorized by the organisation, the entity, the legal person, or management of such organisation, entity, or a legal person to accept these Terms have the necessary power and authority to bind such entity, organisation, or legal person to these Terms.

• The Platform enables you to access and avail various products and services, including but not limited to financial products and services and web-based services (“Services”).
   
• You understand and agree that these Terms set out your rights and obligations for using the Platform, and these Terms are in addition to and not in derogation of the applicable terms and conditions relating to your use of any of the Services. Each Service will be governed by its respective terms and conditions. The terms and conditions governing your use of every such Service shall be made available to you prior to availing the respective Service. In the event of any inconsistency between these Terms and the specific terms and conditions of any Service, the latter shall prevail unless expressly stated otherwise. 

• To avail the Services, you may be required to register yourself and create an account on the Platform (“Account”). In addition to setting up a username and password to create an Account, you will be required to furnish certain information, including but not limited to phone numbers and other personal information, which will vary based on the Service you intend to avail. You warrant that any information furnished in connection with your Account or otherwise is and shall remain accurate, correct and true, and you agree that you shall promptly update your details on the Platform in the event of any change to or modification of this information. We do not accept any responsibility or liability for any loss or damage that you may suffer or incur if any information, documentation, material, or data provided to avail the Services is incorrect, incomplete, inaccurate, or misleading, or if you fail to disclose any material fact.
   
• You are solely responsible for maintaining the security and confidentiality of your username and passwords and for any use of your Account(s) maintained on the Platform at all times. You hereby accept responsibility for all activities that occur through your Account(s) and passwords on the Platform. We shall in no manner be liable for any unauthorised access to your Account. You agree to notify DCB Bank immediately in case of any unauthorised access, breach or misuse of your username, password or any other breach of security with respect to your Account.
  
  
• You agree and understand that DCB Bank reserves the right to refuse or restrict your access to the Platform and the Services, with or without notice, if you provide inaccurate or incomplete information, or in case of suspected fraud, abuse, or any other unlawful activity. This may include restriction without notice for suspected fraudulent, abusive, or illegal activity.
   
• You understand that all Services, as offered by DCB Bank, are not available in each territory throughout the world and, based on your geographic location, you may not be eligible for availing certain Services offered by DCB Bank on the Platform. It is your responsibility to ensure that accessing and using the Platform is legal and permissible in your jurisdiction. 

• All rights, title, and interest in and to the Platform and Services, including all intellectual property rights arising out of the Platform and Services, are owned by or otherwise licensed to us. You agree and understand that nothing in these Terms shall be deemed to be construed as an assignment, transfer or novation of any intellectual property right belonging to, owned by DCB Bank and/or licensed to DCB Bank by any third party including, amongst others, all content, trademarks, trade names, copyrights, designs, software and patents as published on the Platform.
   
• Subject to your compliance with these Terms, DCB Bank hereby grants you a limited, non-transferable, non-sublicensable, royalty-free, revocable and non-exclusive license to access and use the Platform and Services solely in accordance with these Terms.
   
• Any suggestions and/or feedback you provide to DCB Bank in relation to the Services, including bug reports (“Feedback”) will not be confidential. DCB Bank shall be free to use Feedback on an unrestricted basis, including the right to copy, disclose, publish, display, distribute, and exploit the Feedback without any payment of royalty, acknowledgement, prior consent, or any other form of restriction arising out of your intellectual property rights therein.

• You shall not use the Platform and/or Services in any manner except as expressly permitted in these Terms. You shall not: 
  • reproduce, distribute, sell, modify, display, perform, archive, publish, license, create derivative works from, offer for sale or use (except as expressly authorised under these Terms), or in any way exploit any part of any intellectual property or other information, content, materials and Services available on or through the Platform;
  • circumvent, remove, degrade or deactivate any of the contents of the Platform and/or use any robot, spider, scraper or other automated device or manual process to monitor or copy the Platform or any portion thereof. You further agree not to decompile, reverse engineer or disassemble any software or other products or processes accessible through the Platform and not to insert any code or product or manipulate the content of the Platform in any way, or use any data mining, data scraping, data gathering or extraction method on the Platform;
  • use the Platform and/or Services to transmit any data or send or upload any material that contains viruses, trojan horses, worms, timebombs, keystroke loggers, spyware, adware, or any other harmful programmes or similar computer code designed to adversely affect the operation of any computer software or hardware; 
  • engage in the systematic retrieval of content from the Platform to create or compile, directly or indirectly, a collection, compilation, database, or directory; 
  • use any product which modifies, changes, adds to or subtracts from the source code, graphical user interface, structure, integration, look and feel or features of the Platform. All such integrations must be authorised and routed by DCB Bank only.
  •  upload, post, e-mail or otherwise send or transmit any material designed to interrupt, destroy or limit the functionality of the Platform, or do any act which may adversely affect any third-party’s use of, and experience on the Platform; and/or
  • use the Services in (i) any unlawful manner; (ii) for fraudulent or malicious activities; or (iii) violate applicable laws in any manner.
• You shall be solely responsible for ensuring compliance with applicable laws and shall be solely liable for any liability that may arise due to a breach of your obligations in this regard.
   
• You shall not attempt to gain unauthorised access to any portion or feature of the Platform, any other systems or networks connected to the Platform, to any of our servers, or through the Platform, by hacking, password mining, or any other illegitimate means. You will promptly notify DCB Bank upon discovery of any unauthorised use or disclosure or any illegal use of the Platform and related intellectual property of DCB Bank, whether intentional or unintentional and will fully cooperate with DCB Bank to help regain possession thereof and to prevent its further unauthorised use.

You agree that we may use your information, technical data and related information in accordance with our privacy policy. 

• These Terms shall remain in effect unless terminated in accordance with the terms hereunder.
   
• We may terminate your access or use of the Platform or Services, or any portion thereof, immediately and at any point, at our sole discretion, if you violate the Terms or the Privacy Policy or when you cease to become a user of our Services.
   
• Your access to the Platform may also be terminated further to any requests by authorised law enforcement and/or other government and regulatory agencies and authorities.
   
• Upon termination of these Terms: 
  • Your Account will expire;
  • the Services will “time-out”; and
  • these Terms and any licence granted herein shall terminate, except for those clauses that expressly or are intended to survive termination or expiry.

• To the extent permitted by applicable laws, in no event shall DCB Bank, our subsidiaries, affiliates, officers, employees, directors, agents, contractors, partners, suppliers, or licensors be liable to you or any third party for any special, indirect, incidental, consequential, punitive, reliance, or exemplary (including without limitation lost business opportunities, loss of profits (including anticipated profits) or any other pecuniary or non-pecuniary losses including but not limited to breach or loss of data, or goodwill, regardless of whether we have been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty, negligence or other tortious action or any other claim arising out of or relating to:
  • Your access to, use of or inability to access or use the Platform and/or the Services;
  • any act, omission, misrepresentation, misconduct or unlawful conduct of any third-party, including other users, advertisers, or service providers in relation to or through the Platform;
  • any unauthorised access to, use of or alteration of your transmissions or content on the Platform; 
  • any errors, omissions, delays, interruptions, defects, or failures in any Service or content provided on or through the Platform, whether caused by a technical malfunction or otherwise; and/or
  • decisions or transactions made based on any information, content, or Services made available via the Platform, including investment or financial decisions.

You agree to indemnify, defend at our option and hold DCB Bank and our subsidiaries, affiliates, and their officers, directors, agents, employees, partners, representatives and licensors harmless from and against any or all claim, demand, suit, judicial proceeding, losses, liabilities, damages and costs (including but not limited to any attorney’s fees, damages, liabilities and settlements) due to or arising out of: (a) your access to and/or use of the Platform and/or Services; (b) violation of these Terms or any other terms and conditions communicated by us; (c) violation of any third party rights by you; (d) violation of applicable laws; (e) gross negligence; (f) wilful misconduct and fraud; and (g) violation of the aforementioned by any third party who may use your Account to access the Services.

DCB Bank may from time to time, amend these Terms (including the Privacy Policy and Disclaimer) and/or change our Platform from time to time to reflect changes to our Users’ needs and our business priorities. We recommend that you periodically check these Terms for the most recent version. Such changes will be effective immediately upon being published on the Platform. Your continued use of the Platform will indicate your acceptance of the last version of the Terms as published on the Platform. If you do not agree to the change(s) made to the Terms, you must immediately cease your use of the Platform.

You acknowledge and agree that we may have to modify the Services to comply with the applicable laws. As a result of this, you may be unable to access or use all or any part of the Services and/or Platform. We shall not be liable to you for such inability to use the Services and/or Platform pursuant to our compliance with the applicable laws.

We reserve the right to add, modify, or discontinue, temporarily or permanently, any aspect of the Services or the Platform, with or without notice or cause. DCB Bank shall not be liable for any consequences resulting from such addition, modification, suspension, or discontinuation, except as may be required under applicable laws.

These Terms shall be governed by and construed and enforced in accordance with the laws of India. Subject to other provisions in this Clause, courts in Mumbai shall have exclusive jurisdiction over all issues arising out of these Terms or the use of the Services.

If you have any complaints, please refer to the grievance redressal mechanism available on the DCB Bank’s Platform. 

• Severability: If any provision of these Terms is determined by any court or other competent authority to be unlawful or unenforceable, the other provisions of these Terms will continue in effect. If any unlawful or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect (unless that would contradict the clear intention of the clause, in which case the entirety of the relevant provision will be deemed to be deleted).
• Assignment: You shall not license, sell, transfer, or assign your rights, obligations, or covenants under these Terms in any manner without our prior written consent. We may grant or withhold this consent at our sole discretion and subject to any conditions we deem appropriate. 
• Notices: All notices, requests, demands, and determinations for us under these Terms (other than routine operational communications) shall be sent to DCB Bank Limited, P.O. Box No. 7643, Malad (West), Mumbai 400064, India.
• Third Party Rights: No third party shall have any rights to enforce any terms contained herein.
• Force Majeure: We shall have no liability to you if we are prevented from or delayed in performing our obligations or from carrying on our business by acts, events, omissions, or accidents beyond our reasonable control, including, without limitation, strikes, failure of a utility service or telecommunications network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation, or direction.

• Translations: We may provide you with translated versions of these Terms solely to assist you with understanding these Terms in greater detail. The English version of these Terms shall be controlling in all respects. In the event of any inconsistency between the English version of these Terms and any translated version, the terms of the English version shall prevail.
